1. Acceptance of Terms

By accessing or using Semantic.io (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Semantic.io ("we," "us," or "our").

2. Description of Service

Semantic.io is an AI-powered SEO harness platform that integrates with Google Search Console, Google Indexing API, Ahrefs, Semrush, and other third-party services to provide automated SEO analysis, content strategy, keyword tracking, opportunity identification, and content publishing capabilities.

3. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must be at least 16 years of age to create an account.
• One person or legal entity may not maintain more than one free account.

4. Subscription and Billing

Free plan: Semantic offers a free forever plan at no cost. No credit card is required. Paid plan trial: All paid plans include a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged.

Billing cycle: Subscriptions are billed monthly in advance. All fees are non-refundable except as required by applicable law or as explicitly stated in these Terms.

Plan changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.

Cancellation: You may cancel your subscription at any time from your workspace settings or Stripe billing portal. Cancellation takes effect at the end of the current billing period. Your data is retained for 30 days after cancellation (see our Privacy Policy for details).

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its systems
• Use the Service to generate spam, manipulate search engines through deceptive practices, or engage in black-hat SEO
• Reverse-engineer, decompile, or disassemble any part of the Service
• Share your account credentials with third parties or allow multiple users on a single-user plan
• Use automated scripts or bots to access the Service outside of our provided APIs
• Interfere with or disrupt the integrity or performance of the Service
• Upload malicious code, viruses, or harmful data to the Service

6. Third-Party Integrations

The Service integrates with third-party platforms (Google, Ahrefs, Semrush, WordPress, Stripe). Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or policies of third-party services.

When you connect third-party accounts, you authorize us to access and process data from those services on your behalf. You may revoke access at any time through your workspace settings.

7. Automation and Content Publishing

Tier 1 (Monitor Only): The Service observes and reports but takes no automated actions.

Tier 2 (Suggest Actions): The Service recommends actions for your review and approval before execution.

Tier 3 (Fully Autonomous): The Service may execute SEO actions (content updates, meta tag changes, internal link modifications, index submissions) without prior approval. You acknowledge that autonomous actions carry inherent risk and agree to monitor outcomes. You may revert any automated action through the dashboard.

You are solely responsible for the content published through the Service, whether manually approved or autonomously generated. We do not guarantee any specific SEO results, rankings, or traffic outcomes.

8. Intellectual Property

Our IP: The Service, its original content, features, and functionality are owned by Semantic.io and are protected by international copyright, trademark, and other intellectual property laws.

Your content: You retain all rights to your data, content, and materials uploaded to or generated through the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.

AI-generated content: Content generated by our AI systems on your behalf is owned by you. We do not claim ownership of AI-generated articles, meta descriptions, or other outputs produced for your sites.

9. Limitation of Liability

To the maximum extent permitted by law, Semantic.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, rankings, traffic, or business opportunities, resulting from your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any specific SEO results will be achieved. Search engine algorithms change frequently, and past performance does not guarantee future results.

11. Indemnification

You agree to indemnify and hold harmless Semantic.io, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
